Terms of Service

This is an interim template prepared by the engineering team. The final language must be reviewed by qualified counsel under Israeli and applicable foreign law before it is treated as binding.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Rallyve task-management platform operated by Rallyve ("we", "us", or "our") at task.rallyve.com(the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

2. The Service

Rallyve provides a multi-tenant SaaS application for task and event management, including workspace organization, custom dashboards, integrations with third-party services (Google Calendar, Slack, Gemini AI), and team collaboration features. The Service is delivered over the public internet on a hosted basis.

3. Eligibility & Account Registration

You must be at least 18 years old and capable of forming a binding contract under the laws of your jurisdiction. You must provide accurate, current, and complete information during registration and keep it up to date.

You are responsible for safeguarding your authentication credentials, including any multi-factor authentication factors you enroll. You must notify us immediately of any unauthorized access.

4. Organizations & Roles

The Service is organized around "Organizations". When you sign up, an Organization is created with you as its first Administrator. Administrators may invite additional users and assign roles (USER, MANAGER, ADMIN). Each Organization controls its own data within the Service.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Upload or transmit malicious code, viruses, or harmful content;
  • Attempt to gain unauthorized access to other Organizations' data or our infrastructure;
  • Reverse-engineer, decompile, or otherwise attempt to extract source code, except as expressly permitted by law;
  • Scrape, harvest, or otherwise extract data using automated means, except through our published API and within its rate limits;
  • Interfere with or disrupt the integrity or performance of the Service.

6. Subscription & Billing

Free trials, paid plans, and billing arrangements are described separately on our pricing page and in any order form you sign. Fees are non-refundable except as required by law. We may suspend or terminate your access for non-payment after providing reasonable notice.

7. Customer Data & Privacy

You retain all rights to data you upload, create, or generate within the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Data solely to provide and improve the Service. We process personal data in accordance with our Privacy Policy.

8. Third-Party Services

The Service integrates with third-party services (e.g., Supabase Auth, Google Workspace, Slack, Google Gemini). Your use of those services is governed by their own terms. We are not responsible for the availability or behavior of third-party services.

9. Intellectual Property

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. All other rights in the Service and its underlying software, design, and documentation are reserved.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of these Terms is limited to the amounts you paid us in the twelve months preceding the event giving rise to the claim.

12. Termination

You may terminate your account at any time from the account settings page. We may suspend or terminate your access for material breach of these Terms or for legal, security, or operational reasons. On termination, we will provide you with reasonable means to export your Customer Data, after which we may delete it per our retention policies.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Continued use of the Service after such notice constitutes acceptance of the revised Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts located in Tel Aviv-Yafo, Israel shall have exclusive jurisdiction over any dispute arising from or relating to these Terms.
